Open Excel program. Then go to File -> Open. Here select the .txt file of your choice. You can also do a wildcard search using *.txt and open the file. You will have to do some formatting before the file looks ok.

Once you feel that the formatting is OK, just save this file as *.xls. That should save the file as an excel file.

Alternative:
If the notepad is a datafile, then
Open Excel program and go to Data -> Get External Data -> Import .txt file

This will allow you to open the file in excel and then you can save as .xls file.
